1. Acceptance of terms
By accessing or using Coyot WaBI (“the Service”), operated by Coyot AI(“we”, “us”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. The Service
Coyot WaBI is a software platform that lets merchants manage contacts, message templates, campaigns, and customer conversations through the WhatsApp Business Platform (Cloud API). We connect to Meta’s WhatsApp Cloud API as a registered Tech Provider. We provide software only; Meta delivers messages and bills you directly for message usage. We do not resell messaging.
3. Your responsibilities
- You must comply with Meta’s WhatsApp Business Messaging Policy, WhatsApp Commerce Policy, and all applicable laws, including India’s DPDPA 2023.
- You must obtain valid opt-in consent from every recipient before messaging them, and honour opt-out requests promptly.
- You are responsible for the accuracy and lawfulness of the content you send and the contact data you import.
- You must keep your account credentials secure and are responsible for activity under your account.
4. Prohibited use
You may not use the Service to send spam, unlawful, deceptive, harassing, or harmful content, or to violate the rights of others or any platform policy. We may suspend or terminate accounts that breach these terms or Meta’s policies.
5. Fees
We may charge a subscription fee for access to the Service. Message-delivery charges are billed to you directly by Meta and are separate from any subscription fee we charge.
6. Intellectual property
The Service, including its software and branding, is owned by Coyot AI. These terms do not grant you any right to our intellectual property except the limited right to use the Service.
7. Disclaimer and limitation of liability
The Service is provided “as is” without warranties of any kind. To the fullest extent permitted by law, Coyot AI shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service, including message delivery failures caused by Meta or third parties.
8. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you breach these terms. On termination, your right to use the Service ends; provisions that by their nature should survive will survive.
9. Changes to these terms
We may update these terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised terms.
